Welcome to Fixit, a technology platform operated by Fixitgroup LLC (“Fixit,” “Company,” “we,” “us,” or “our”). Fixit provides an online platform that facilitates connections between individuals seeking repair and home improvement services (“Clients”) and independent contractors who offer such services (“Contractors,” and together with Clients, “Users”). The Platform includes the Fixit mobile application and related website located at fixitexperts.com (collectively, the “Platform”).

These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

You must be at least eighteen (18) years of age and capable of forming a legally binding contract to access or use the Platform. By using the Platform, you represent and warrant that you meet these requirements, are not prohibited from using similar services under applicable law, and will comply with all applicable laws and regulations.

Contractors further represent and warrant that they are legally authorized to perform the services they offer, and that they are solely responsible for complying with all applicable local, state, and federal requirements, including licensing, permitting, insurance, bonding, tax obligations, and worker classification laws. Contractors acknowledge and agree that they access and use the Platform solely in their capacity as independent contractors, and that no employment, agency, partnership, joint venture, or similar relationship exists between them and Fixitgroup LLC.

Fixit may permit both licensed and unlicensed Contractors to access the Platform. Any optional submission or display of licensing or identification information is provided solely for informational purposes. Fixit does not verify, authenticate, endorse, or guarantee the qualifications, licensing status, background, skills, insurance coverage, or legality of any Contractor or any services offered or performed through the Platform.

Fixit does not conduct background checks, criminal history reviews, reference checks, or other screening of Users beyond limited reviews of submitted materials for basic completeness. Fixit disclaims all responsibility and liability arising from any inaccuracies, misrepresentations, fraudulent submissions, or omissions by Users.

Clients are solely responsible for evaluating, vetting, and selecting Contractors. Contractors are solely responsible for the services they offer and perform.

To access certain features of the Platform, Users must create an account and provide accurate, current, and complete information, which may include name, email address, phone number, and other information relevant to Platform functionality. Contractors may be required to submit identification documents and may optionally submit licensing information or link professional profiles.

Users represent and warrant that all information provided is truthful and accurate. Fixit does not independently verify user-submitted information and disclaims liability for any reliance on such information.

Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their accounts. Users agree to notify Fixit promptly of any unauthorized access or use. Accounts are personal and non-transferable.

Fixit reserves the right, in its sole discretion, to suspend or terminate accounts at any time and for any reason, including for violations of these Terms, submission of inaccurate information, or operational considerations, without notice or liability.

Fixit may review submitted documents solely for basic completeness and formatting purposes, but does not validate, authenticate, or guarantee their accuracy, legitimacy, or currency.

By providing a phone number or email address, Users consent to receive communications from Fixit relating to Platform operations, account activity, and service-related notices, including via automated systems where permitted by law. Standard messaging and data rates may apply. Users may opt out of non-essential communications as permitted by applicable law.

The Platform facilitates connections between Clients and Contractors for repair and home improvement services. Fixit does not provide, perform, subcontract, recommend, or guarantee any services itself. Clients and Contractors enter into direct agreements for services; we are not a party to those agreements and have no involvement in their formation, performance, or enforcement. No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is created between Company and any User, or between Clients and Contractors.

Contractors are independent third parties and retain sole discretion and control over the manner, means, methods, tools, materials, timing, pricing (beyond our subscription fees), and performance of their services. Contractors control their own schedules and availability, determine whether to accept or reject any service request, and are free to offer services through other platforms or channels. We do not train, supervise, evaluate, or direct Contractors' work in any way, and Contractors have no authority to bind or make representations on behalf of the Company. Using the Platform does not guarantee jobs for Contractors or suitable, safe, or satisfactory services for Clients.

Clients may browse Contractor profiles, request quotes, and book services using features such as GPS location data for matching. Contractors may respond to leads and accept jobs. Communication occurs solely through the Platform's chat feature; we do not share direct contact information (e.g., phone numbers or email addresses) between Users unless they independently choose to exchange it themselves. All interactions between Users, including offline meetings, negotiations, payments (outside our subscriptions), and service performance, are undertaken at your own risk and sole responsibility.

We encourage, but do not require, Users to conduct their own due diligence, including checking references, licenses, insurance, or reviews. Clients acknowledge that all risks associated with services, including the absence or insufficiency of insurance coverage, are theirs, and we recommend independently verifying any Contractor's insurance. We may implement limited anti-fraud or Platform integrity measures (such as lead validation), but we disclaim all liability for scams, misrepresentations, or fraudulent interactions between Users.

The Platform includes a review and rating system through which Clients may rate and review Contractors. Contractors may not rate or review Clients. Reviews are user-generated content, are not verified by us, and reflect the opinions of Users. We disclaim all liability arising from reviews and are not obligated to remove or modify any review.

3A. No Emergency Services; No Guarantee of Availability

The Platform is intended solely to facilitate connections between Clients and Contractors for non-emergency repair and home improvement services. Fixit does not provide emergency services and does not guarantee the availability, responsiveness, timing, or suitability of any Contractor or services offered through the Platform.

You acknowledge and agree that the Platform is not designed for use in situations requiring urgent or emergency response, including but not limited to situations involving threats to personal safety, health, or property. If you require emergency assistance, you should contact emergency service providers directly (such as 911 or applicable emergency services).

Fixit makes no representations or warranties regarding response times, service availability, or the ability of any Contractor to address time-sensitive or emergency situations, and Fixit shall have no liability arising from any delay, failure to respond, or unavailability of services.

3B. No Guarantee of Matches, Leads, or Outcomes

Fixit makes no representations, warranties, or guarantees regarding the availability, quantity, quality, timing, or suitability of any Contractors, Clients, service requests, leads, jobs, or outcomes through the Platform. Fixit does not guarantee that Clients will be matched with a Contractor, that Contractors will receive any service requests or jobs, or that any User will achieve a particular result through use of the Platform.

Any decisions to engage with other Users, respond to service requests, accept or reject jobs, or perform services are made solely at the discretion and risk of the applicable User. Fixit shall have no liability arising from a User's inability to obtain services, leads, work opportunities, or desired results through the Platform.

3C. No Fiduciary, Advisory, or Trust Relationship

You acknowledge and agree that Fixit does not act as a fiduciary, advisor, agent, trustee, broker, or representative for any User, and that no special, confidential, or trust-based relationship exists between you and Fixit. Fixit does not owe any duty of loyalty, care, or disclosure to any User beyond those expressly set forth in these Terms.

Any decisions made by Users in connection with the Platform, including whether to engage with other Users, request or offer services, or rely on information made available through the Platform, are made solely at the User's own discretion and risk, and Fixit shall have no liability arising from any such decisions or reliance.

The Platform is free for Clients. Contractors must purchase a subscription in order to access leads and certain Platform features. Current subscription options include:

Subscriptions automatically renew at the end of each applicable subscription term unless canceled at least twenty-four (24) hours prior to renewal. Contractors may cancel a subscription at any time through their account settings. Subscriptions are billed automatically to the payment method on file, and by subscribing you authorize Fixit to charge all applicable subscription fees, renewal fees, and any required taxes through Fixit's payment processor of choice. Payment information is processed by Fixit's payment processor; Fixit does not store full payment card details.

Except as expressly required by applicable law, subscription fees are non-refundable, and no refunds or credits will be issued for partial subscription periods, unused services, or cancellations. Any refunds or credits are issued solely at Fixit's discretion, including in limited circumstances such as verified invalid leads (for example, duplicate leads). Fixit has no obligation to provide refunds or credits except as required by applicable law. If a Contractor cancels a subscription, access to subscription features will continue through the end of the applicable subscription period and will terminate thereafter, without refund or liability.

Fixit reserves the right to modify subscription fees, suspend access for non-payment, or terminate accounts in accordance with these Terms, without liability. Promotional offers, discounts, or incentives may be offered from time to time and may be modified or withdrawn at Fixit's discretion.

Fixit does not process, facilitate, escrow, guarantee, or collect payments for services performed by Contractors. All payments for services are to be handled directly between Clients and Contractors outside of the Platform. Fixit is not a party to, and has no responsibility or liability for, any payment arrangements, billing disputes, chargebacks, refunds, non-payment, or financial losses arising between Users.

4A. Contractor Tax Responsibility; No Tax Advice

Contractors acknowledge and agree that they are solely responsible for determining, reporting, and paying any and all federal, state, local, or other taxes, fees, contributions, or assessments arising from or related to their use of the Platform or any services they offer or perform, including without limitation income taxes, self-employment taxes, sales taxes, and any required filings or withholdings.

Fixit does not act as a payor with respect to services performed by Contractors and does not collect, withhold, report, or remit taxes on behalf of any User in connection with services performed through the Platform. Nothing in the Platform or these Terms constitutes tax advice, and Users are solely responsible for consulting their own tax advisors regarding their tax obligations.

You agree that throughout your use of the Platform you will not, and will not attempt to, directly or indirectly:

• Misuse the Platform, including by engaging in spam, fraud, harassment, threats, impersonation, or other abusive or deceptive conduct.
• Use the Platform to solicit, collect, or misuse leads, contact information, or account access in a manner intended to circumvent Platform rules, subscription requirements, or account limitations.
• Provide, post, upload, transmit, or otherwise make available any false, misleading, inaccurate, unlawful, or unauthorized information or content.
• Violate any applicable law or regulation, or infringe the intellectual property, privacy, publicity, or other rights of any third party.
• Post or transmit User Content that is defamatory, obscene, threatening, hateful, or promotes discrimination or violence.
• Use the Platform for any illegal, unsafe, or prohibited purpose, or to request or offer services that are unlawful or that require licensing, permits, or authorizations the applicable User does not possess.
• Engage in scams, phishing, misrepresentation, identity misuse, creation of fake accounts or profiles, or other fraudulent or deceptive practices.
• Manipulate, interfere with, or disrupt the Platform, including through automated access, scraping, reverse engineering, or attempts to bypass technical safeguards or access controls.
• Create multiple accounts, share account credentials, or otherwise attempt to evade account restrictions, suspensions, or terminations.

Fixit does not assume any obligation to monitor User activity, communications, or content, and makes no representations regarding the conduct of any User. Fixit may, in its sole discretion and without obligation, remove or restrict access to content, features, or accounts, or suspend or terminate access to the Platform, if Fixit determines that a User has violated these Terms or engaged in conduct that poses a risk to the Platform or other Users. Fixit shall have no liability arising from any User conduct or from the exercise or non-exercise of its rights under this Section.

6A. Assumption of Risk; No Background or Safety Screening

You agree to indemnify, defend, and hold harmless Fixit, its affiliates, and its and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your violation of these Terms or any applicable law or regulation; (c) your services, conduct, or interactions with other Users, including any off-Platform activities or transactions; (d) your User Content or any information you submit, post, or transmit through the Platform; (e) disputes between you and any other User; or (f) your negligence, recklessness, or misconduct, including claims involving personal injury, bodily harm, property damage, death, fraud, misrepresentation, or failure to obtain or maintain any required licenses, permits, or insurance.

Fixit may, at its option, assume the exclusive control and defense of any matter subject to indemnification, in which event you agree to cooperate fully with Fixit in asserting any available defenses and in the defense of such matter. You may not settle any claim subject to indemnification without Fixit's prior written consent if such settlement would impose any liability, obligation, or restriction on Fixit or adversely affect Fixit's rights or interests.

Your indemnification obligations under this section are in addition to, and not in limitation of, any other obligations or remedies set forth in these Terms, and shall survive termination or expiration of your use of the Platform.

Fixit does not handle, mediate, arbitrate, or resolve disputes between Clients and Contractors, including disputes relating to services, payments, quality, refunds, or satisfaction. Fixit is not a party to any agreement between Users and has no obligation to intervene in, participate in, or resolve any dispute between Users. Any such disputes must be resolved directly between the parties, and Fixit disclaims all liability arising therefrom.

For disputes between you and Fixit, you agree to first attempt to resolve the dispute informally by sending a written notice describing the dispute in reasonable detail to Info@fixitexperts.com. If the dispute is not resolved within sixty (60) days after receipt of such notice, the dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA Commercial Arbitration Rules, or, if applicable, the AAA Consumer Arbitration Rules then in effect. The arbitration shall be conducted in Wayne County, Michigan, or remotely, at Fixit's election.

Opt-Out. You may opt out of this arbitration agreement by sending an email to Info@fixitexperts.com within thirty (30) days of first accepting these Terms, including your name, address, and a clear statement that you are opting out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.

Exceptions. Either party may bring an individual claim in small claims court, if eligible, or seek injunctive or equitable relief for actual or threatened infringement, misappropriation, or violation of intellectual property rights, in the state or federal courts located in Wayne County, Michigan. This section shall survive termination or expiration of these Terms.

These Terms and any dispute arising out of or relating to the Platform or these Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles.

Subject to Section 8, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wayne County, Michigan for the resolution of any non-arbitrable dispute or claim.

Fixit may, in its sole discretion, suspend or terminate your access to the Platform, your account, or any features or services offered through the Platform, at any time and for any reason, with or without notice, and without refund or liability. You acknowledge that Fixit shall have no obligation to provide reasons for any suspension or termination.

You may terminate your use of the Platform at any time by deleting your account. Upon any termination of your access or account, you must immediately cease all use of the Platform.

Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 6 (Liability Limitations), 6A (Assumption of Risk), 7 (Indemnification), 8 (Dispute Resolution), and 9 (Governing Law and Venue).

Fixit may modify or update these Terms from time to time in its sole discretion. Any changes will be effective upon posting or as otherwise indicated by Fixit, and notice may be provided through the Platform, by email, or by other reasonable means.

Your continued access to or use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to any modification, your sole remedy is to discontinue use of the Platform and terminate your account.

Except as expressly stated otherwise, any changes to these Terms will apply prospectively and will not affect disputes arising prior to the effective date of the revised Terms.

The Platform, including all software, features, functionality, designs, trademarks, logos, and content created by Fixit or its licensors (“Company Content”), is owned by Fixit or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, Fixit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, sublicense, or reverse engineer any portion of the Platform or Company Content.

Any content you submit, upload, post, transmit, or otherwise make available through the Platform, including reviews, profiles, photographs, documents, messages, or other materials (“User Content”), remains your property. However, by submitting User Content, you grant Fixit a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, distribute, publicly display, and otherwise exploit such User Content in connection with the operation, promotion, marketing, and improvement of the Platform, including featuring User Content in promotional materials.

You represent and warrant that you own or have all necessary rights, permissions, and consents to submit User Content and to grant the foregoing license, and that your User Content does not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party, and complies with all applicable laws.

Fixit does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any User Content and has no obligation to review, monitor, or remove any User Content. Fixit may, in its sole discretion and without obligation, remove, edit, restrict, or refuse to display any User Content at any time and for any reason, without notice or liability.

Fixit will at all times take reasonable steps to ensure it complies with the Digital Millennium Copyright Act (“DMCA”). If you believe that content on the Platform infringes your copyright, please submit a notice to Info@fixitexperts.com containing the information required by the DMCA. Fixit reserves the right to terminate the accounts of repeat infringers in appropriate circumstances.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fixit regarding your use of the Platform and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and any waiver must be in writing and signed by an authorized representative of Fixit. Fixit shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, governmental actions, labor disputes, or interruptions of utilities or communications services.

You may not assign or transfer these Terms, by operation of law or otherwise, without Fixit's prior written consent. Fixit may assign these Terms freely, including in connection with a merger, acquisition, sale of assets, or corporate reorganization, without notice or consent.

The Platform may rely on or integrate with third-party services, tools, or technologies. Fixit does not own, operate, control, or endorse any third-party services and makes no representations or warranties regarding their availability, accuracy, reliability, functionality, or security. Your use of third-party services is at your own risk and subject to the applicable third party's terms and policies.

Fixit does not guarantee that the Platform will be available, uninterrupted, timely, secure, or error-free at all times. The Platform may be subject to delays, interruptions, outages, maintenance, updates, bugs, or technical limitations. Fixit may, from time to time, suspend, modify, or discontinue access to all or any portion of the Platform for maintenance, upgrades, security reasons, or operational needs, with or without notice.

To the fullest extent permitted by law, any claim or cause of action arising out of or relating to the Platform or these Terms must be commenced within one (1) year after the claim or cause of action arises, or such claim or cause of action shall be permanently barred.

Privacy Policy

Fixitgroup LLC (“Fixit,” “Company,” “we,” “us,” or “our”) operates a technology platform that facilitates connections between individuals seeking repair and home improvement services (“Clients”) and independent contractors offering such services (“Contractors”) (collectively, “Users”). This Privacy Policy describes Fixit's practices regarding the collection, use, disclosure, and protection of information in connection with the Fixit mobile application and related website located at fixitexperts.com (the “Platform”).

By accessing or using the Platform, you acknowledge that you have read and understand this Privacy Policy. If you do not agree with this Policy, you should not access or use the Platform.

1. Information We Collect

Fixit collects information directly from Users, automatically through the operation of the Platform, and from third parties that support Platform functionality.

Information Provided by Users

• Clients may provide identifying and contact information, including name, email address, phone number, optional physical address, and project-related details submitted through the Platform.
• Contractors may provide identifying and contact information, business location, identification documents, optional licensing information, and optional professional or social media profile links.

Information Collected Automatically

When Users access or use the Platform, Fixit may automatically collect certain technical and usage information, including IP address, device identifiers, browser type, operating system, interaction data, and general location information derived from IP address or device-based services, such as GPS, where enabled.

Information from Third Parties

Fixit may receive information from third-party service providers that support Platform operations, including payment processors, mapping and location services, analytics providers, hosting providers, and security vendors.

Sensitive Information and Minors

Fixit may collect limited sensitive information, such as government-issued identification or professional licensing information from Contractors, solely for Platform-related purposes. Fixit does not knowingly collect personal information from individuals under eighteen (18) years of age.

2. Use of Information

Fixit uses personal information for legitimate business and operational purposes, including but not limited to:

• Operate, maintain, and improve the Platform and its functionality;
• Facilitate connections between Clients and Contractors, including location-based matching where enabled;
• Process subscription payments and manage billing through third-party payment processors;
• Communicate with Users regarding account activity, Platform updates, and support inquiries;
• Detect, prevent, and address fraud, abuse, security incidents, or violations of Fixit's Terms and Conditions;
• Conduct internal analytics and performance assessments; and
• Comply with applicable legal obligations and enforce Fixit's rights, policies, and agreements.

Fixit does not sell personal information and does not use personal information for cross-context behavioral advertising or targeted advertising.

3. Disclosure of Information

Fixit may disclose information as described below and only to the extent reasonably necessary to operate and support the Platform.

• To Other Users: Limited profile information may be made visible to other Users to facilitate interactions through the Platform.
• To Service Providers: Fixit may disclose information to third-party service providers that perform services on Fixit's behalf, including payment processing, hosting, analytics, mapping, security, and customer support.
• Legal and Compliance: Fixit may disclose information where required or permitted by applicable law, regulation, legal process, or governmental request.
• Business Transactions: Information may be disclosed or transferred in connection with a merger, acquisition, financing, reorganization, or sale of all or a portion of Fixit's business or assets.
• Aggregated/De-Identified: Fixit may use or disclose aggregated or de-identified information for analytics, research, or business purposes.

4. Data Security

Fixit maintains reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, disclosure, alteration, or destruction.

No method of transmission or storage is entirely secure. Users are responsible for maintaining the confidentiality of their account credentials and securing the devices used to access the Platform. In the event of a data security incident involving personal information, Fixit will provide notice and take such actions as required by applicable law.

5. Privacy Rights

Depending on a User's state of residence and applicable law, Users may have certain rights regarding their personal information, which may include the right to request access to, correction of, or deletion of personal information, the right to opt out of certain data uses where applicable, and the right not to be discriminated against for exercising privacy rights.

Requests to exercise applicable privacy rights may be submitted through the Platform or by contacting Info@fixitexperts.com. Where required by applicable law, Fixit recognizes Global Privacy Control (“GPC”) signals.

6. California Privacy Rights (CCPA/CPRA)

This Section applies solely to residents of the State of California. Within the preceding twelve (12) months, Fixit may have collected the following categories of personal information as defined under the California Consumer Privacy Act, as amended by the California Privacy Rights Act: identifiers; customer records; commercial information; geolocation data; professional information (for Contractors); internet or network activity information; and inferences derived from such information.

Fixit does not sell personal information and does not share personal information for cross-context behavioral advertising. Fixit does not knowingly sell or share personal information of individuals under sixteen (16) years of age. California residents may have rights to request access to, correction of, or deletion of personal information; to opt out of sales or sharing where applicable; to limit the use of sensitive personal information; and to not be discriminated against for exercising rights.

7. Data Retention and Transfers

Fixit retains personal information for only so long as reasonably necessary to fulfill the purposes described in this Privacy Policy or as required by applicable law. Personal information may be stored and processed in the United States. By using the Platform, Users consent to such processing and storage.

8. Cookies and Similar Technologies

Fixit uses cookies and similar technologies to support authentication, analytics, performance, and Platform functionality. Users may manage cookie preferences through browser or device settings, though disabling cookies may affect Platform features.

9. Changes to This Privacy Policy

Fixit may revise this Privacy Policy from time to time. Any changes will be effective upon posting or as otherwise required by law. Continued use of the Platform after such changes constitutes acceptance of the revised Policy.
